The Management Board of UNIMOT S.A. with its registered office in Zawadzkie (“the Company”, “the Issuer”) announces that on 20 June 2022 it received information that the European Commission had given its consent to a concentration involving the acquisition by Polski Koncern Naftowy Orlen S.A. (“PKN Orlen”) control over Grupa LOTOS Spółka Akcyjna (“GK Lotos”), (the “EC Decision”).

The Management Board of Unimot S.A., with its registered office in Zawadzkie (the “Company”, the “Issuer”), announces that it has received a notification concerning a transaction in the Issuer’s shares, sent pursuant to Article 19(1) of the MAR Regulation, from a person closely related to a person discharging managerial responsibilities, Mrs Barbara Borowska-Satława, wife of Mr Bogusław Satława, a member of the Issuer’s Supervisory Board.

The Management Board of UNIMOT S.A. (“the Company”), with its registered office in Zawadzkie, announces that on 8 June 2022 it received a request from a shareholder Unimot Express sp. z o.o., with its registered office in Warsaw, acting pursuant to Article 401 § 1 of the Code of Commercial Companies, representing more than 1/20 of the share capital, to place the following item on the agenda of the Annual General Meeting convened for 29 June 2022: “Adoption of a resolution amending the resolution of the General Meeting of 3 June 2020 determining the remuneration of the members of the Supervisory Board.”

The Management Board of UNIMOT S.A. (the “Company”, the “Issuer”) with its registered office in Zawadzkie announces that, on 2 June 2022, it took the decision to transfer the organised part of the Issuer’s enterprise (the “OPC”) to its subsidiary UNIMOT Paliwa sp. z o.o. (“UNIMOT Paliwa”) and of the significant change in the Issuer’s business focus that will take place upon the transfer of the OPC to UNIMOT Paliwa.
