The Extraordinary General Meeting of UNIMOT GAZ S.A. adopted a resolution on the conditional capital increase and appointed a new Member of the Supervisory Board.
Pursuant to the Resolution of the UNIMOT GAZ S.A. EGM, held on January 16, 2014 the share capital of the Company will be conditionally increased up to 1 600 thousand PLN by emission of new shares in the series E, F, G, H. The Extraordinary General Meeting decided to issue subscription warrants entitling to buy new emission of the Company’s shares, at the the issue price amounting to 5,31 PLN a share.
„ In the opinion of the UNIMOT GAZ S.A. Management Board, the issue price of shares adequately reflects the Company’s fair value” , said UNIMOT GAZ S.A. CEO, Bogusław Satława. „The issue price level takes into account, among other factors, the current market price of the shares, the dividend paid, the Company’s book value and its development potential. Assets obtained by increasing the share capital will enable the Company to implement the new growth strategy, among others, the project of trading in natural gas, including LNG”, he added.
The Extraordinary General Meeting has also made changes in the UNIMOT GAZ S.A. Supervisory Board . Dariusz Maszczyk was replaced by Isaac Querub – a highly regarded international expert of the crude oil and natural gas segment.
Isaac Querub is a citizen of Spain. He graduated from ICADE (Universidad Pontificia de Comillas), Madrid. Between 1981 and 2003, he was the CEO and a Member of the Glencore España S.A. Board of Directors – a company trading in crude oil, metals and minerals in Spain, Middle East and Africa region. Since 2003, he is a partner in Andria Inversiones Inmobiliarias S.A., involved into real estate trading, and Incogas S.A., trading in the LPG segment. From 2007 to 2013, as a co-founder of Moka Consulting S.A., he was responsible for development of business strategy oriented on African states producing LPG. Between 2009 and 2013, he was a member of Advisory Committee of Portuguese company Iberiapremium SGPS. Since 2013, he is a partner of Consejos y Estrategias Técnicas y Empresariales SL, a company specialising in business consulting, and a Member of the Supervisory Board of Swiss company – Bluequest Resources AG, trading in metals and minerals.
Between 1996 – 2001, Isaac Querub held the position of the president of Jewish Community in Madrid, and since 2011 he serves as the president of the Federation of Jewish Communities in Spain (FCJE). He is also a Member of the Board of Governors of Tel Aviv University and the president of Yad Vashem in Spain. In 2007 he was given the Prince of Asturias Award, then in 2012 was honoured with the Order of Ouissam Alaouite by the King of Morocco.
